PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY BEFORE USING THIS WEBSITE. BY ACCESSING OR USING BLUJAY131.COM (THE "SITE"), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND ALL POLICIES INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SITE.
1. Parties and Acceptance
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and BluJay131 Holdings LLC, a limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the Site (collectively, the "Site"). Your continued use of the Site following any posted update to these Terms constitutes your irrevocable acceptance of the revised Terms.
2. Eligibility
You represent and warrant that: (a) you are at least 13 years of age, or the applicable minimum age of digital consent in your jurisdiction, whichever is greater; (b) you have the legal capacity to enter into a binding contract; (c) your use of the Site does not violate any applicable law, regulation, or the rights of any third party; and (d) you are not a person barred from receiving services under the laws of the United States or any other applicable jurisdiction. We do not knowingly collect information from children under 13. If we learn that we have done so, we will delete it promptly.
3. Description of Site
The Site is the public company homepage for BluJay131 and currently provides social/contact links and related company information only. It does not aggregate or publish storefront feeds, gaming deal feeds, gaming news from stores, game release calendars, or blog content. We may update or remove content, links, and contact channels at any time without notice and without liability.
4. Intellectual Property Rights
All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of BluJay131 Holdings LLC or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial purposes. No content may be reproduced, distributed, modified, publicly displayed, transmitted, or otherwise exploited without our prior written consent. All rights not expressly granted are reserved by BluJay131 Holdings LLC.
5. User Conduct and Prohibited Activities
As a condition of use, you agree that you will not, and will not attempt to: (a) use the Site for any unlawful purpose or in violation of these Terms; (b) transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation; (c) impersonate any person or entity or misrepresent your affiliation with any person or entity; (d) interfere with, disrupt, or damage the Site, its servers, or networks; (e) attempt to gain unauthorized access to any portion of the Site or any other systems or networks connected to the Site; (f) engage in any automated data collection, scraping, or harvesting without express written consent; (g) upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; (h) infringe any patent, trademark, trade secret, copyright, or other proprietary right; or (i) introduce any viruses, Trojan horses, worms, or other harmful code. Violation of these conditions may result in immediate termination of your access and, where appropriate, referral to law enforcement authorities.

7. Disclaimer of Warranties
THE SITE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLUJAY131 HOLDINGS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS (COLLECTIVELY, "COMPANY PARTIES") EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; (B) ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE; (C) ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; AND (D) ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, CURRENTNESS, OR QUALITY OF ANY CONTENT OR INFORMATION OBTAINED THROUGH THE SITE. 8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
(A) IN NO EVENT SHALL ANY COMPANY PARTY BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, PROPERTY DAMAGE, OR COST OF SUBSTITUTE GOODS OR SERVICES, WHETHER ARISING UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY), STATUTE, OR ANY OTHER LEGAL OR EQUITABLE THEORY, EVEN IF ANY COMPANY PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(B) IN NO EVENT SHALL THE AGGREGATE TOTAL LIABILITY OF ANY AND ALL COMPANY PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00).
(C) THE FOREGOING LIMITATIONS APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER BASIS, AND EVEN IF ANY COMPANY PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL; IN SUCH CASE, THEY APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
9. Indemnification
You agree to indemnify, defend (with counsel reasonably acceptable to us), and hold harmless BluJay131 Holdings LLC and all Company Parties from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees, court costs, and settlement amounts) arising out of or relating to: (a) your access to or use of the Site; (b) your violation of these Terms or any applicable law or regulation; (c) your violation of any rights of any third party, including intellectual property rights, privacy rights, or publicity rights; (d) any content you submit, post, or transmit through the Site; or (e) your negligence or willful misconduct. BluJay131 Holdings LLC reserves the right, at your expense, to assume exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate fully with our defense of such claims. You shall not settle any claim without our prior written consent.
10. Assumption of Risk
You expressly acknowledge and agree that use of the Site is at your sole risk. You assume full responsibility and risk of loss resulting from your use of the Site, including any information or content obtained through the Site. BluJay131 Holdings LLC assumes no responsibility for any errors or omissions in the content, nor for any losses, injuries, or liabilities arising from the use of content made available through the Site.
11. Dispute Resolution — Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
(A) Informal Resolution. Before initiating arbitration, you agree to first contact BluJay131 Holdings LLC in writing and attempt to resolve the dispute informally for a period of at least thirty (30) days.
(B) Binding Arbitration. If informal resolution fails, all disputes, claims, or controversies arising out of or relating to these Terms, the Site, or related legal claims (including the arbitrability of any dispute) shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are incorporated herein by reference. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
(C) Class Action Waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND BLUJAY131 HOLDINGS LLC WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITIES ONLY.
(D) Jury Trial Waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND BLUJAY131 HOLDINGS LLC EACH WAIVE ANY RIGHT TO A TRIAL BY JURY WITH RESPECT TO ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.
(E) Opt-Out. You may opt out of this arbitration agreement by notifying us in writing within thirty (30) days of first accepting these Terms. Opting out does not affect any other provision of these Terms.
12. Governing Law and Jurisdiction
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict-of-law principles. To the extent any claim is not subject to arbitration, you consent to exclusive personal jurisdiction and venue in the state and federal courts located in Spokane County, Washington.
13. Force Majeure
BluJay131 Holdings LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
14. Termination
BluJay131 Holdings LLC reserves the right, in its sole and absolute discretion, to suspend, restrict, or permanently terminate your access to the Site or any part thereof at any time and for any reason, with or without notice, and without liability. Upon termination, all licenses granted to you under these Terms shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including Sections 4, 7, 8, 9, 10, 11, 12, and 15.
15. Modifications to Terms
BluJay131 Holdings LLC reserves the right to modify these Terms at any time. Changes are effective upon posting to the Site. Your continued use of the Site after any modification constitutes your binding acceptance of the revised Terms. It is your responsibility to review these Terms periodically. Material changes may be indicated by updating the "Last Updated" date above.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
17. Waiver
No waiver of any term, condition, or provision of these Terms shall be deemed a further or continuing waiver of such term or any other term. Any failure of BluJay131 Holdings LLC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
18. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, End User License Agreement, Disclaimer, and Acceptable Use Policy, constitute the entire and exclusive agreement between you and BluJay131 Holdings LLC with respect to the Site and supersede all prior or contemporaneous negotiations, discussions, representations, warranties, and agreements, whether written or oral, relating to the subject matter hereof.
