End User License Agreement (EULA)

THIS END USER LICENSE AGREEMENT ("EULA" OR "AGREEMENT") IS A LEGAL AGREEMENT BETWEEN YOU ("END USER," "YOU," OR "YOUR") AND BLUJAY131 HOLDINGS LLC ("COMPANY," "WE," "US," OR "OUR") GOVERNING YOUR ACCESS TO AND USE OF BLUJAY131.COM (THE "SITE") AND ALL ASSOCIATED CONTENT, SOFTWARE, AND SITE MATERIALS. BY ACCESSING, BROWSING, OR USING THE SITE IN ANY WAY, YOU AFFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SITE.
This EULA is incorporated into and should be read in conjunction with our Terms of Service, Privacy Policy, and all other applicable policies.
1. License Grant
Subject to your continued compliance with this EULA and all associated policies, BluJay131 Holdings LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for your personal, non-commercial purposes. This license does not include any resale or commercial use of the Site or its content; any collection or harvesting of Site content or data; any derivative use of the Site or its content; or any use of data mining, robots, or similar data gathering and extraction tools.
2. License Restrictions
You expressly agree that you will not: (a) copy, reproduce, distribute, republish, download, display, post, or transmit the Site or any content in any form or by any means except as expressly permitted herein; (b) modify, translate, adapt, edit, create derivative works of, or otherwise alter the Site or any content; (c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software component of the Site; (d) remove, alter, or obscure any copyright, trademark, or other proprietary rights notices from the Site or any content; (e) use the Site for any commercial purpose or for any public display, performance, sale, or rental; (f) use the Site to develop a competing product or service; (g) license, sell, resell, transfer, assign, distribute, or otherwise commercially exploit the Site; (h) access or attempt to access any portion of the Site to which you have not been explicitly granted access; or (i) use the Site in violation of any applicable law, regulation, or third-party rights.
3. Ownership and Intellectual Property
The Site and all content, features, functionality, software, designs, text, images, graphics, audio, video, and all other materials available through the Site (collectively, "Content") are owned by BluJay131 Holdings LLC or its licensors and are protected by United States and international intellectual property laws, including copyright, trademark, patent, and trade secret law. BluJay131 Holdings LLC retains all right, title, and interest in and to the Site and all Content, including all intellectual property rights therein. Nothing in this EULA transfers any intellectual property rights to you. The BluJay131 name, logo, and all related marks are trademarks of BluJay131 Holdings LLC. All other trademarks, service marks, and trade names referenced on the Site are the property of their respective owners. No license to use any trademark is granted under this EULA.
4. User Content
To the extent you submit any content, data, or information to the Site (e.g., through contact channels), you grant BluJay131 Holdings LLC a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, and display such content in connection with operating and improving the Site. You represent and warrant that you own or have the necessary rights to grant this license and that your content does not violate any law or third-party rights.
5. Third-Party Software and Content
The Site may incorporate third-party software, libraries, or content subject to separate license terms. BluJay131 Holdings LLC makes no representations or warranties regarding such third-party materials and is not responsible for them. Your use of third-party content or software is subject to the applicable third-party terms and conditions.
6. Updates and Modifications
BluJay131 Holdings LLC may, in its sole discretion and at any time, update, modify, discontinue, or restrict the Site without notice. We have no obligation to provide updates or continued access. Any updates or modifications shall be subject to this EULA unless a separate agreement accompanies such updates.
7. Disclaimer of Warranties
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLUJAY131 HOLDINGS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT: (A) THE SITE WILL MEET YOUR REQUIREMENTS; (B) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE SITE WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SITE WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO PORTIONS OF THE ABOVE MAY NOT APPLY TO YOU, BUT WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BLUJAY131 HOLDINGS LLC OR ANY OF ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF BLUJAY131 HOLDINGS LLC FOR ALL CLAIMS RELATED TO THIS EULA OR THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00). THESE LIMITATIONS SHALL APPLY REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED.
9. Indemnification
You agree to indemnify, defend, and hold harmless BluJay131 Holdings LLC and its members, managers, officers, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this EULA or your use of the Site, including but not limited to any content you submit, any use of the Site's content other than as expressly authorized, or your violation of any third-party rights.
10. Term and Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice if you fail to comply with any provision of this EULA. Upon termination, you must cease all use of the Site. BluJay131 Holdings LLC may also terminate or suspend your access at any time for any reason, with or without notice, without liability. Sections 3, 7, 8, 9, 11, 12, and 13 shall survive termination of this EULA.
11. Dispute Resolution
All disputes arising out of or relating to this EULA shall be resolved through binding arbitration as set forth in Section 11 of our Terms of Service, which is incorporated herein by reference. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION PROCEEDINGS.
12. Governing Law
This EULA shall be governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles. To the extent any claim is not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Spokane County, Washington.
13. General
This EULA, together with the Terms of Service and all other incorporated policies, constitutes the entire agreement between you and BluJay131 Holdings LLC with respect to the Site. If any provision is held invalid, illegal, or unenforceable, it will be modified to the minimum necessary to make it enforceable; all other provisions remain in full force. No waiver of any provision constitutes a waiver of any other provision. BluJay131 Holdings LLC may assign this EULA without restriction; you may not assign it without our prior written consent.
